1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the LA Fulfill website at www.lafulfill.com and any related pages, content, or materials (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

In these Terms, “LA Fulfill”, “we”, “us”, and “our” refer to LA Fulfill Inc., a California corporation, and “you” and “your” refer to the person or entity accessing the Site.

2. Scope — Site Use vs. Service Agreements

The Site is provided for general informational and marketing purposes. It describes the freight, fulfillment, retail expansion, and growth services we offer, but it is not itself an offer, quote, or contract.

Any fulfillment, warehousing, freight, distribution, or related services we perform for you are governed exclusively by a separate written agreement between you and LA Fulfill — such as a master services agreement, statement of work, or signed quote. If those documents conflict with these Terms, they control with respect to the services.

3. Permitted Use of the Site

You may view, browse, and print pages of the Site for your own internal business evaluation. You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
• Copy, reproduce, republish, resell, or redistribute Site content for commercial purposes without our prior written permission.
• Scrape, crawl, harvest, or use automated means to extract data from the Site, except for search engine and AI crawler indexing that respects our robots.txt directives.
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems, or interfere with their normal operation.
• Introduce malware, or take any action that imposes an unreasonable load on our infrastructure.
• Misrepresent your identity or your affiliation with any person or organization.

4. Submissions & Communications

The Site includes a contact form. When you submit your name, email address, and message, you confirm that the information you provide is accurate and that you are authorized to share it, and you agree that we may use it to respond to your enquiry and to follow up about our services.

Please do not send confidential, sensitive, or proprietary information through the form. A submission does not create a client relationship, and no confidentiality obligation arises until a written agreement is in place. We handle the information you send in accordance with our Privacy Policy.

If you send us feedback, suggestions, or ideas about the Site or our services, you agree that we may use them for any purpose without restriction, attribution, or compensation to you, and that doing so creates no confidentiality or other obligation on our part.

5. Intellectual Property

The Site and its contents — including text, graphics, illustrations, photographs, layout, design, and the underlying code — are owned by LA Fulfill or its licensors and are protected by copyright and other intellectual property laws.

No license or right is granted to you other than the limited permission to view the Site as described in Section 3. All rights not expressly granted are reserved.

6. Trademarks & Third-Party Brands

The LA Fulfill name and logo are trademarks of LA Fulfill. Other product names, brand names, retailer names, and logos appearing on the Site are the property of their respective owners.

Where client, partner, retailer, or platform marks are shown, they are used for identification and reference only. Their appearance does not imply endorsement, sponsorship, or affiliation beyond any relationship expressly described on the Site.

7. Service Descriptions, Pricing & Quotes

Descriptions of services, capabilities, capacity, turnaround times, integrations, and results shown on the Site are provided for general guidance and may change without notice.

Any pricing, rates, or timelines mentioned on the Site are indicative only and do not constitute a binding offer. Binding pricing is provided only in a written quote or agreement issued by LA Fulfill.

Case studies, metrics, and outcomes reflect specific engagements and are not a guarantee or prediction of the results any other brand will achieve.

8. Third-Party Links & Services

The Site may link to third-party websites, platforms, or tools that we do not control. We provide those links for convenience only and are not responsible for the content, availability, practices, or terms of any third-party site or service. Your use of them is at your own risk and subject to their own terms.

9. Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand what we collect, how we use it, and the rights you have.

10. Disclaimer of Warranties

The Site and all content on it are provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, LA Fulfill disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that the content is complete, current, or accurate. This section does not affect any warranties given in a separate signed services agreement.

11. Limitation of Liability

To the fullest extent permitted by law, LA Fulfill and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of, or inability to use, the Site — even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars (US$100). Liability arising from our performance of services is addressed in the applicable services agreement, not here. Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless LA Fulfill and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys’ fees — arising out of or related to your misuse of the Site or your breach of these Terms or of applicable law.

13. Changes to the Site & These Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time; when we do, we will revise the “Last Updated” date above. Your continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.

14. Governing Law & Venue

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of California, without regard to its conflict-of-laws rules.

You agree that the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction and venue over any such dispute, and you consent to personal jurisdiction there.

15. General

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and LA Fulfill regarding your use of the Site.

We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, and any attempt to do so is void.

These Terms do not create any third-party beneficiary rights. Any claim arising out of or relating to the Site or these Terms must be brought within one (1) year after the claim arises; otherwise it is permanently barred, except to the extent applicable law does not permit such a limitation.
